These Terms & Conditions ("Terms") govern your use of the Zynolabs website and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our Services.

1. Definitions

• "Zynolabs," "we," or "us" refers to Zynolabs Co.

• "You" or "Client" refers to the individual or entity using our Services.

• "Services" means all offerings provided by Zynolabs, including consulting, systems architecture, integrations, software, and related materials.

2. Scope of Services

Zynolabs will provide Services as outlined in a separate Statement of Work (SOW), Proposal, or Order Form. No Services beyond the defined scope will be provided unless agreed in writing.

3. Fees & Payment Terms

1. Fees are set forth in the applicable SOW or Proposal.

2. Invoices are due within 30 days of receipt unless otherwise specified.

3. Late payments accrue interest at 1.5% per month on the outstanding balance.

4. Client Responsibilities

• Provide timely access to necessary data, systems, and personnel.

• Ensure any third-party licenses or consents required for integrations are obtained.

• Review deliverables within agreed review periods.

5. Intellectual Property

1. Zynolabs retains ownership of all IP, methodologies, templates, and tooling created independently of Client-specific data.

2. Client obtains a perpetual, worldwide, royalty-free, non-exclusive license to use deliverables (excluding Zynolabs proprietary frameworks) for internal purposes.

6. Confidentiality

Both parties agree to maintain confidentiality of all non-public information marked as confidential and use it only to perform obligations under these Terms.

7. Warranties & Disclaimers

• Zynolabs warrants that Services will be performed in a professional and workmanlike manner.

• EXCEPT AS EXPRESSLY STATED, ZYNOLABS DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

8. Limitation of Liability

IN NO EVENT SHALL ZYNOLABS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE. ZYNOLABS’ TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY CLIENT TO ZYNOLABS IN THE 12 MONTHS PRIOR.

9. Termination

• Either party may terminate for material breach if the breach remains uncured 30 days after written notice.

• Upon termination, Client pays for all Services rendered up to the termination date.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of Thailand. Any disputes will be resolved via arbitration in Bangkok under UNCITRAL rules.

11. Changes to Terms

Zynolabs may modify these Terms by posting updated Terms on its website. Your continued use of the Services after such changes constitutes your acceptance.
