Welcome to Zynolabs. These Terms of Service (“Terms”) govern your use of our websites, products, and services (“Services”). By accessing or using our Services, you agree to these Terms. If you do not agree, please do not use our Services.

1. Who We Are

Zynolabs LLC (“Zynolabs,” “we,” “us,” or “our”) is a U.S.-domiciled company providing consulting, systems architecture, and AI automation services. We also operate in Thailand and Southeast Asia.

2. Use of Services

• You must be at least 18 years old and able to form a binding contract.

• You agree to use our Services only for lawful purposes and in compliance with all applicable laws in the U.S., Thailand, and your local jurisdiction.

• You may not misuse our Services, interfere with their operation, or attempt unauthorized access.

3. Consulting and Deliverables

• Zynolabs provides professional consulting and technical services. Unless otherwise agreed in writing, all advice, deliverables, and prototypes are provided “as is.”

• You are responsible for how you use deliverables in your business and for meeting any regulatory requirements that apply to your industry.

• We may use third-party tools and integrations as part of our Services. Their terms and conditions also apply to you.

4. Fees and Payment

• Fees are agreed upon in proposals, statements of work, or contracts.

• Unless otherwise specified, payments are due within 30 days of invoice.

• Late payments may incur interest or suspension of Services.

5. Confidentiality

• Each party agrees to protect confidential information shared during the engagement.

• Confidential information does not include information that is public, independently developed, or lawfully obtained from a third party.

6. Intellectual Property

• Unless otherwise agreed, Zynolabs retains ownership of its methodologies, frameworks, and software components.

• Clients retain ownership of their data, business information, and any custom deliverables created specifically for them.

7. Disclaimers

• Our Services are provided “as is” without warranties of any kind, express or implied.

• We do not guarantee uninterrupted or error-free operation of third-party software or integrations.

• To the maximum extent permitted by law, we disclaim liability for indirect, incidental, or consequential damages.

8. Limitation of Liability

• Zynolabs’ total liability under these Terms shall not exceed the amount paid by you for the Services giving rise to the claim in the 6 months prior to the incident.

9. Governing Law and Disputes

• These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

• If a dispute arises, both parties agree to attempt resolution in good faith. If unresolved, disputes shall be submitted to binding arbitration in Delaware, USA.

• Where required by local laws (e.g., Thailand or other Southeast Asian jurisdictions where we operate), local courts may also have jurisdiction.

10. Changes to These Terms

We may update these Terms from time to time. Changes will be posted with a new “Last updated” date. Continued use of our Services after changes take effect means you accept the revised Terms.
